BYLAWS OF THE ARIZONA DESERT STARS
The name of this organization shall be “THE ARIZONA DESERT STARS.”
The purpose of this Club shall be:
To support Sister Billie Bradfield in her journey to the office of Most Worthy Grand Matron.
To promote favorable recognition of Arizona’s members in Arizona, in other Grand Jurisdictions and in General Grand Chapter.
To host an Arizona Event during the Triennium for Sister Billie Bradfield, our Elected General Grand Chapter Officer.
Section 1. Eligibility
Any member of Eastern Star in good standing in any Subordinate Chapter under General Grand Chapter, OES is eligible to become a member of this Club.
Section 2. Membership
Any member of Eastern Star is eligible for Charter Membership upon paying a lifetime membership fee of $10.00 between January 2016 and January 2017.
After January 2017, any member of Eastern Star is eligible for regular membership upon paying a lifetime membership fee of $20.00
Chapter membership is available for a membership fee of $50.00. The Chapter will receive a Chapter Membership Certificate.
Section 3. Membership Identification
Each Charter member will receive an “Arizona Desert Stars” pin and a membership card as permanent membership identification.
Each regular member will receive a membership card as permanent membership identification.
Section 4. Application Forms
Membership application forms may be obtained from any officer of the Club.
Section 1. Officers
The Officers of this Club shall be a President, Vice-President, Secretary/Treasurer and Chief Marketing Officer. The initial officers for the 2015-2018 Triennium will be chosen by Sister Billie Bradfield, RWAGC, after which the officers will be selected as specified in Article IV, Section 3. Election of Officers.
Section 2. Nominating Committee.
A Nominating Committee appointed by the President no later than the regular September meeting prior to the regular Triennial Assembly shall present list of candidates for each of the club offices. Nominations may also be made from the floor.
Section 3. Election of Officers.
The Officers of this Club shall be elected at the regular January meeting following the Triennial Assembly to serve a three-year term. A majority vote shall elect. When there are two or more candidates for an office, election shall be by written ballot.
Section 4. Installation of Officers
The Officers of this Club shall be installed following the conclusion of other business at the regular Annual Meeting following their election.
Section 5. Vacancy
If the Office of President should become vacant, the Vice-President shall become President. The Executive Committee shall fill vacancies in other offices until the next regular meeting when the vacancy may be filled by the majority vote of the members present and voting.
DUTIES OF OFFICERS
Section 1. President
The President shall have a general supervision over all the club’s affairs and shall preside at all Club meetings. The President of the Club shall have the power to call special meetings of the Club when two members of the Executive Committee concur on the need. The President shall appoint an Auditing Committee, a Nominating Committee and such other committees as may be necessary and shall serve as an ex-officio member of all committees.
Section 2. Vice-President
The Vice-President, in the absence of the President, shall preside at all club meetings. The Vice-President shall assist the President by performing such duties as may be designated by the President. The Vice-President shall succeed to the office of President in the event of a vacancy in that office. She/he shall issue membership cards and in the event a membership card is lost, she/he shall issue a duplicate card. She/he shall make available a copy of the Club’s Bylaws to each member. She/he will provide a list of members and addresses to our Elected General Grand Chapter Officer and General Chairman and shall furnish correct membership listings to the Club Officers.
Section 3. Secretary/Treasurer
The Secretary shall keep proper record of the club meetings and maintain a file of the Club’s membership. The Secretary shall receive the monies belonging to the Club and deposit them in an interest bearing account. The Secretary/Treasurer shall disburse Club Funds in accordance with the approved Club procedures. She/he shall present summarized reports at each regular meeting and a full report at the Annual Meeting, covering the period since the previous Annual Meeting.
The Secretary shall notify members of the Annual Meeting.
Section 4. Chief Marketing Officer
The Chief Marketing Officer shall determine the branding, sales and marketing of merchandise to be sold to support the income and programs of the “Arizona Desert Stars”. She/he will oversee all sales of merchandise and will design and provide membership applications and membership cards.
Section 1. Regular Meetings
The Arizona Desert Stars Club shall have three regular meetings each year, which shall be scheduled for the months of January, April and September. The date, hour and place of each meeting to be held will be announced at the preceding meeting, at other Eastern Star meetings, by e-mail (azstar mail) and on the Arizona Eastern Star web page.
Section 2. Annual Meeting
The regular April meeting shall be the Annual Meeting.
Section 3. Special Meetings
The President may call special meetings when two members of the Executive Committee concur on the need for the meeting. Only the business for which the meeting was called may be acted upon at the special meeting.
Section 4. Quorum
One of the Elected Officers and at least 10 members shall be considered a quorum and may perform the necessary business of the Club.
Section 5. Visitors
Visitors are welcome to attend club meetings.
Section 1. Auditing Committee
The President shall appoint three members, excluding Executive Committee members, to serve as an Auditing Committee at least three months prior to the Annual Meeting. They shall audit the records of the Secretary/Treasurer of Arizona Desert Stars and shall report to the membership at the Annual Meeting.
Section 2. Executive Committee
The Elected Officers of the Club shall serve as the Executive Committee. They shall transact such business as may be necessary for the best interest of the Club, during the period between club meetings, and shall submit a full report of such actions to the Club at its next regular meeting.
Section 3. Nominating Committee
The President shall appoint three members, excluding Executive Committee members, each from a different section of the State of Arizona, to serve as a Nominating Committee. At the regular January meeting following the General Grand Chapter Triennial Assembly the Nominating Committee shall present a slate of candidates, who have agreed to accept the offices if elected, for the club offices.
Section 1. In the event Sister Billie Bradfield is unable for any reason to continue her journey to the office of Most Worthy Grand Matron of the General Grand Chapter, Order of the Eastern Star, all funds in the Arizona Desert Stars account, after all bills have been paid, will be deposited in the Grand Chapter of Arizona Scholarship Fund.
Section 2. Following the conclusion of the 2027 Triennial Assembly, after all bills have been paid, any remaining funds will be disbursed as decided by the Club members.
The rules contained in Robert’s Rules of Order Newly Revised shall govern the Club in all cases to which they are applicable
The Bylaws of the “ARIZONA DESERT STARS” may be amended by a two-thirds majority vote of the members present and voting at any regular club meeting.
